Terms of Service

These Terms of Service ("Terms") govern your access to and use of Momento Plus, including our mobile applications, APIs, websites, and any content or services provided through them (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to create an account or use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you access the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to the entity.

2. Account Registration and Security

When you register, you must provide accurate information and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@momentoplus.app if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

3. Description of the Services

Momento Plus provides tools to capture voice notes, text entries, images, tags, tasks, and AI-generated coaching insights. The Services include syncing content via Instant DB, generating transcriptions and summaries through AI providers, reminders, optional subscriptions for premium features, and access to our secure media storage. We may modify, suspend, or discontinue any element of the Services at any time with or without notice.

4. Subscriptions and Billing

  • Premium features are offered through in-app subscriptions. Pricing, features, and renewal periods are disclosed at purchase and may vary by region.
  • Payments are processed through the platform where you subscribe (Apple App Store or Google Play). We do not store your full payment credentials.
  • Subscriptions renew automatically until canceled. You must cancel at least 24 hours before the renewal date via the same storefront to avoid future charges.
  • We may offer free trials or promotional pricing. If you cancel before the trial ends, you avoid being charged. Once billed, charges are non-refundable except where required by law.

5. Your Content

You retain ownership of the journal entries, recordings, images, and other content you submit ("User Content"). By submitting User Content, you grant Momento Plus a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display that content solely as needed to operate and improve the Services. You are responsible for ensuring you have the rights necessary to submit the User Content and for complying with applicable laws when using it.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes or in violation of these Terms.
  • Submit content that infringes intellectual property rights or other rights of third parties.
  • Upload malicious code, attempt to circumvent security features, or probe system vulnerabilities.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use automated scripts or bots to harvest data or interact with the Services without permission.

We may investigate and take appropriate action, including suspension or termination, for violations of this section.

7. AI and Output Disclaimers

Certain features rely on artificial intelligence providers such as OpenAI to offer transcriptions, summaries, or coaching suggestions. AI output may be inaccurate or incomplete. You are solely responsible for evaluating the results, and you should not rely on them as a substitute for professional advice (medical, legal, financial, or otherwise). We do not guarantee that AI output will meet your expectations or that it is error-free.

8. Third-Party Services

The Services may integrate with or link to third-party services (including Instant DB, OpenAI, Cloudflare R2, RevenueCat, and platform app stores). Your use of those services is governed by their respective terms and policies. We are not responsible for third-party services or their actions.

9. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, pose a security risk, or cause harm to other users. You may stop using the Services at any time. Upon termination, your license to use the Services ends, but the sections of these Terms intended to survive termination (including Sections 5 through 14) will remain in effect.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTO PLUS AND ITS DIRECTORS, EMPLOYEES, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE SERVICES; (B) ANY CONDUCT OR CONTENT OF THIRD PARTIES; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE SIX MONTHS PRECEDING THE CLAIM.

12. Indemnity

You agree to indemnify and hold harmless Momento Plus and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law rules. Any dispute arising from or relating to the Services or these Terms will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by contacting you directly. The updated Terms will be effective when posted unless otherwise stated. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
